TransferPilot Licence Terms.

Effective from the date shown on the version published at the time of purchase.

1 About these terms

These licence terms apply when you buy, download, install or use TransferPilot. Please read them before purchasing. By completing a purchase and using the software, you agree to these terms.

If you purchase on behalf of a company or other organisation, you confirm that you have authority to accept these terms for that organisation and for the named user.

2 The software

TransferPilot is a macOS application that transfers files between a selected folder on a Mac and a selected folder on an FTP server. It can be configured to upload from the Mac to the FTP server or download from the FTP server to the Mac.

TransferPilot does not provide an FTP server, internet access, cloud storage, backup services or administration of third-party systems.

3 Purchase and contract

The price, VAT and principal system requirements are shown on the purchase page before payment. Payment is processed by Adfin or another payment provider identified at checkout.

An automated payment acknowledgement does not by itself mean that we have accepted the order. The contract is formed when we send the download and licence information. If we cannot accept or fulfil an order, we will refund the amount paid.

4 Licence grant

Once payment has been received and the order accepted, we grant the named user a personal, non-exclusive, non-transferable licence to install and use TransferPilot on up to two Macs used or controlled by that named user.

The licence is a one-off purchase and remains valid for the major version purchased. For example, a licence for version 1.x covers that version and its included 1.x maintenance releases. It does not automatically include a future major version such as version 2.x.

The licence may be used for business or personal work. You may keep one reasonable backup copy of the installer solely for your own licensed use.

5 Additional users and devices

Each additional person who uses TransferPilot requires a separate licence, even if they work for the same company or use the same FTP server. A team, department, client or site may not share a single named-user licence.

If the named user replaces a Mac, TransferPilot may be moved to the replacement device provided it is removed from the old device and remains installed on no more than two Macs at the same time.

6 Restrictions

You must not, and must not permit another person to:

  • share, lend, rent, lease, resell, sublicense or distribute TransferPilot, its installer or its licence information;

  • make TransferPilot available for use by anyone other than the named user;

  • copy, modify, adapt, translate, merge or create derivative works from TransferPilot, except where applicable law expressly permits this;

  • reverse engineer, decompile or disassemble TransferPilot, except to the limited extent that applicable law expressly allows and does not permit that right to be excluded;

  • remove or obscure ownership, copyright or other notices; or

  • use TransferPilot unlawfully or to access files, accounts or servers without permission.

7 Ownership

TransferPilot is licensed, not sold. We and our licensors retain all intellectual property rights in the software, documentation, branding and related materials. These terms give you permission to use the software; they do not transfer ownership of it.

Open-source or third-party components included with TransferPilot remain subject to their applicable notices and licences.

8 Your responsibilities

You are responsible for:

  • checking that your Mac meets the stated system requirements;

  • obtaining and maintaining a suitable internet connection and authorised FTP account;

  • entering the correct server, login and folder information;

  • checking each upload or download profile before using it for live or important work;

  • monitoring transfer status and confirming that important files have reached the intended destination;

  • protecting your Mac, FTP credentials and licence information from unauthorised access; and

  • keeping independent backups of your original photographs and other important files.

TransferPilot assists with file transfer but is not a backup system. You should not rely on it as the only copy of any file or as the only method of confirming delivery.

9 Third-party services

TransferPilot connects to FTP servers and networks controlled by you or third parties. We are not responsible for the availability, security, capacity, settings or performance of those services. Changes made by an FTP provider, internet provider, Apple or another third party may affect operation.

10 Updates and compatibility

Updates are provided in accordance with the TransferPilot Support and Updates Policy published at the time of purchase. You are responsible for installing updates and maintaining a supported version of macOS.

We do not guarantee that a purchased version will remain compatible with every future version of macOS, future hardware or every FTP server configuration.

11 Quality and availability

We aim to provide TransferPilot with reasonable care and skill and in accordance with its published description. Software can contain faults, and transfers can be interrupted by networks, servers, device sleep, configuration or other matters outside our control. We do not promise that TransferPilot will be uninterrupted, error-free or suitable for every workflow.

Nothing in these terms excludes or restricts rights or remedies that cannot lawfully be excluded, including statutory rights available to consumers when digital content is faulty or not as described.

12 Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited.

If you are a business customer, we are not liable for loss of profit, revenue, contracts, business, anticipated savings, goodwill, data or business opportunity, or for indirect or consequential loss. Subject to the paragraph above, our total aggregate liability arising from TransferPilot or these terms is limited to the amount you paid for the affected licence.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for business losses arising from consumer use, or for losses caused by incorrect configuration, unauthorised FTP access, third-party services or failure to maintain an appropriate backup, except where the law requires otherwise.

13 Ending the licence

You may end the licence at any time by uninstalling TransferPilot and deleting all copies of the installer and licence information.

We may end the licence by written notice if you materially breach these terms and, where the breach can be corrected, you do not correct it within 14 days after we ask you to do so. When the licence ends, you must stop using TransferPilot and delete all copies in your possession or control.

14 Transfer of these terms

You may not transfer the licence or your rights under these terms without our written agreement. We may transfer our rights and obligations to another organisation, but this will not reduce protections that apply to you.

15 General terms

If any part of these terms is found unenforceable, the remaining terms continue to apply. A delay in enforcing a term does not waive the right to enforce it later. No person other than you and us has a right to enforce these terms.

These terms are governed by the law of England and Wales. If you are a business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may also have the right to bring proceedings in the part of the United Kingdom where you live.
